These terms govern your use of Brahm Byte Technologies' website, payments, software development, hosting, domains, APIs, and related services.
1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and Brahm Byte Technologies ("Brahm Byte", "we", "us") governing access to and use of www.brahmbyte.com, our client area, developer portal, APIs, hosting and domain platforms, demo projects, CRM-connected lead flows, and all related offerings (the "Services").
By accessing the website, creating an account, placing an order, making a payment, or using any Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy and Cancellation Policy. If you do not agree, do not use the Services.
If you enter into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Description of Services
Brahm Byte provides, among others:
- Custom software development: web and mobile applications, ERP, fintech, MLM, OTT, e-commerce, real estate, blockchain, and enterprise platforms;
- API services: identity, communication, travel, recharge, financial, education, and healthcare APIs with sandbox and production environments;
- Infrastructure: web hosting, VPS hosting, cloud hosting, domain registration, transfer, DNS, and related managed services;
- Digital products: demo projects, admin panels, knowledge base access, and subscription or usage-based plans as published on our pricing pages;
- Support and consulting: discovery calls, technical support tickets, migrations, and integration assistance.
Service descriptions on the website are illustrative. Binding scope, deliverables, timelines, and fees are defined in order confirmations, invoices, statements of work (SOW), or separate written agreements.
3. Account Terms
- You must provide accurate, current registration and billing information;
- You are responsible for all activity under your account credentials and API keys;
- You must notify us immediately of unauthorized access at [email protected];
- We may suspend or terminate accounts for breach, fraud, non-payment, or abusive behaviour;
- One person or entity may not share client-area credentials across unrelated organizations without permission;
- We reserve the right to refuse service to anyone for lawful business reasons.
4. Quotations and Separate Agreements
Website content, blog posts, and demo access do not constitute an offer to contract. Custom software projects require an approved proposal or SOW specifying milestones, acceptance criteria, intellectual property allocation, and payment schedules. Where a signed SOW conflicts with these Terms on project-specific matters, the SOW prevails for that project only.
5. Payment Terms
- Payments are accepted in INR unless otherwise stated, via Razorpay, Stripe, PayU, bank transfer, or other methods we enable;
- Orders may require full payment or deposits as specified at checkout or on your invoice;
- You authorize us and our payment partners to charge saved payment methods for renewals where auto-renew is enabled;
- Failed payments may result in suspension of hosting, APIs, or access until the balance is cleared;
- You are responsible for applicable taxes, including GST, unless a valid exemption certificate is on file;
- Currency conversion or bank fees charged by your institution are your responsibility.
6. Pricing and Billing
Published prices on /pricing, hosting, domain, and API pages are subject to change with notice on the website. Renewals are billed at then-current rates unless a fixed-term promotion applies.
- Hosting and domains: typically billed monthly, annually, or multi-year in advance;
- API plans: may include setup fees, monthly minimums, and per-call usage charges;
- Software projects: milestone-based or time-and-materials as per SOW;
- Invoices are due on the date stated; late payments may incur interest or service suspension after notice.
Billing disputes must be raised within fifteen (15) days of the invoice date with supporting documentation.
7. Hosting, Domains, and Infrastructure
- Acceptable use policies prohibit illegal content, spam, malware distribution, and resource abuse;
- Uptime targets, if any, are stated in plan descriptions and are not guaranteed unless a specific SLA is purchased;
- Domain registrations are subject to registry rules; we act as registrar/reseller partner, not registry authority;
- You are responsible for DNS accuracy, content legality, and backup of your data unless a managed backup add-on is purchased;
- Migration assistance is provided on a best-effort basis as described in your order.
Cancellation and refunds for hosting and domains are governed by our Cancellation Policy.
8. API Services
- API keys are confidential; misuse, sharing, or resale without authorization is prohibited;
- Rate limits, fair-use policies, and category-specific compliance (e.g. identity verification laws) apply;
- Sandbox environments are for testing only; live credentials must not be used in production without approval;
- We may throttle or suspend APIs for security incidents, non-payment, or regulatory requirements;
- Third-party upstream providers may affect availability beyond our reasonable control.
9. Software Development Projects
- Change requests outside agreed scope may incur additional fees and timeline adjustments;
- Client delays in feedback, content, or approvals extend delivery schedules accordingly;
- Source code, designs, and deliverables transfer as specified in the SOW upon receipt of agreed payments;
- Warranty periods for defect fixes, if any, are defined in the SOW—not by general website content;
- Third-party licenses (fonts, stock assets, SaaS APIs) remain subject to their respective terms.
10. Demo Projects and Evaluation
Demo projects, sample credentials, and sandbox environments are provided for evaluation only. You may not use demos for production workloads, redistribute access, scrape data, reverse engineer systems, or circumvent authentication. Demo data may be reset without notice.
11. Intellectual Property
All website content, trademarks, logos, documentation, and pre-existing Brahm Byte code, frameworks, and tools remain our property or our licensors' property. Except as granted in a SOW or license, no rights are transferred by mere use of the website.
You grant us a limited license to use materials you provide (briefs, logos, content) solely to perform the Services. You warrant that you have rights to such materials and that they do not infringe third-party IP.
12. Confidentiality
Each party may receive confidential information. Both parties agree to protect such information with reasonable care and use it only for the business relationship, except where disclosure is required by law. NDAs signed separately supplement these Terms where applicable.
13. Prohibited Use
You agree not to:
- Violate any applicable law, including IT Act, RBI/NPCI guidelines where relevant, and export controls;
- Transmit malware, phishing, or unlawful content through our hosting or APIs;
- Attempt unauthorized access to systems, accounts, or data;
- Resell Services without written authorization;
- Use identity or financial APIs for unapproved use cases or without end-user consent where required;
- Interfere with Service integrity through excessive automated requests or denial-of-service activity;
- Misrepresent affiliation with Brahm Byte or impersonate our staff.
We may investigate violations and cooperate with law enforcement where appropriate.
14. Warranties and Disclaimers
EXCEPT AS EXPRESSLY SET IN A WRITTEN SLA OR SOW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
We do not warrant uninterrupted or error-free operation of the website, third-party registries, payment gateways, or upstream API providers.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, BRAHM BYTE TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF A SPECIFIC ORDER OR SOW SHALL NOT EXCEED THE FEES PAID BY YOU FOR THAT ORDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 50,000, WHICHEVER IS LOWER, UNLESS A HIGHER LIMIT IS EXPRESSLY AGREED IN WRITING.
Nothing in these Terms limits liability for fraud, wilful misconduct, or death/personal injury where limitation is prohibited by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Brahm Byte Technologies, its directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content, applications, or use of Services; (b) breach of these Terms or applicable law; (c) infringement of third-party rights; or (d) disputes with your end users, except where caused solely by our gross negligence or wilful misconduct.
17. Suspension and Termination
We may suspend or terminate Services immediately for non-payment, security risk, legal requirement, or material breach. You may cancel subscriptions per the Cancellation Policy. Upon termination, access ceases; data may be deleted after a retention window unless export is requested in advance and permitted by your plan.
18. Force Majeure
Neither party is liable for delay or failure due to events beyond reasonable control, including natural disasters, war, government actions, internet or power failures, registry outages, pandemics, or upstream provider failures, provided notice is given where practicable.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to any mandatory arbitration or venue clause in your SOW.
Before litigation, parties agree to attempt good-faith resolution by written notice to [email protected] for thirty (30) days.
20. Amendments
We may modify these Terms by posting an updated version with a revised "Last updated" date. Material changes affecting active subscriptions will be communicated via email or client-area notice where reasonable. Continued use after effective date constitutes acceptance where permitted by law.
